1. Introduction

These Terms and Conditions ("Terms") govern your use of Tixian, including our website (tixian.io), mobile applications (Tixian Host and Tixian Attendee), and all related services (collectively, the "Platform"). By accessing or using Tixian, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Tixian is a marketplace and technology platform that enables event organizers ("Hosts") to create, manage, and sell tickets to events, and enables attendees ("Users") to discover and purchase tickets. Tixian is not an event organizer, promoter, or seller of tickets and is not a party to any transaction between Hosts and attendees.

2. User Accounts

2.1 Account Creation

  • Provide accurate, current, and complete information
  • Maintain and promptly update account information
  • Keep login credentials secure and confidential

2.2 Account Security

You are responsible for all activity under your account. Notify us immediately at support@tixian.io of unauthorized use. Tixian is not liable for losses caused by unauthorized access.

2.3 Account Suspension & Termination

We may suspend or terminate accounts at our discretion for violations of these Terms, fraud, abuse, illegal activity, or risk to the Platform.

3. Tixian Services

3.1 For Hosts

  • Create and manage event listings
  • Set ticket tiers and pricing
  • Sell tickets and manage attendees
  • Use marketing tools (email, SMS, AI features)
  • Access analytics and revenue reporting

3.2 For Attendees

  • Browse and discover events
  • Purchase tickets securely
  • Access digital tickets and QR codes
  • Receive event-related notifications

4. Subscription Plans & Fees

4.1 Subscription Plans

Plans, pricing, and features may change. Current details are available in the Platform.

4.2 Transaction Fees

Transaction fees apply to each ticket sold. Hosts may choose to absorb or pass fees to attendees.

4.3 Payment Processing

Payments are processed via Stripe. Tixian does not store payment information. Use of Stripe is subject to Stripe’s terms and policies.

4.4 Billing & Renewals

Subscriptions renew automatically until cancelled. You may cancel at any time via your account or app store settings.

5. Mobile Applications & In-App Purchases

5.1 Mobile Apps

  • Tixian Host – event management
  • Tixian Attendee – ticket discovery and purchase

5.2 iOS & Android Subscriptions

If you use the Tixian iOS application, your use is also subject to Apple’s Standard End User License Agreement (EULA): Apple Standard EULA.

Subscriptions purchased through Apple App Store or Google Play are governed by their respective terms. Tixian does not control app store billing, refunds, or renewals.

6. Ticket Sales, Refunds & Cancellations

6.1 Marketplace Disclaimer

All events are organized and fulfilled by Hosts. Tixian is not responsible for the quality, safety, legality, or delivery of any event.

6.2 Host Responsibility

  • Accurate event information
  • Event fulfillment
  • Refunds, cancellations, and disputes
  • Compliance with applicable laws

6.3 Refund Policy

Refund policies are set by Hosts. Tixian has no obligation to issue refunds to attendees.

6.4 Fees

All Tixian subscription and transaction fees are non-refundable, including for cancelled or rescheduled events.

6.5 Chargebacks & Disputes

Hosts are solely responsible for chargebacks, payment disputes, reversals, and related fees. Tixian may recover disputed amounts from future payouts.

7. Acceptable Use & Prohibited Conduct

  • Illegal, fraudulent, or deceptive events
  • Hate, violent, or exploitative content
  • Unauthorized ticket resale or scalping
  • Spam or misuse of messaging tools
  • Infringement of third-party rights

8. AI-Powered Features

  • You own AI-generated content
  • You are responsible for reviewing outputs
  • AI outputs are not professional advice

9. Intellectual Property

You retain ownership of your content and grant Tixian a non-exclusive license to use it in connection with the Platform.

10. Privacy

Use of the Platform is subject to our Privacy Policy.

11. Disclaimers & Limitation of Liability

The Platform is provided “as is” and “as available.” To the maximum extent permitted by law, Tixian shall not be liable for indirect, incidental, or consequential damages. Tixian’s total liability shall not exceed the fees paid to Tixian in the preceding 12 months.

12. Indemnification

You agree to indemnify and hold harmless Tixian from claims arising from your events, content, or violation of these Terms.

13. Force Majeure

Tixian is not liable for failures caused by events beyond reasonable control, including natural disasters, government actions, or third-party outages.

14. Governing Law & Disputes

These Terms are governed by the laws of Canada. Disputes shall be resolved exclusively in the courts of Ontario, Canada. You agree to attempt informal resolution before legal action.

15. Changes to Terms

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
